Responsibilities
- Oversee legal matters for all affiliated companies in the group.
- Draft, review, and revise various contracts and agreements, such as service agreements and non-disclosure agreements (NDAs).
- Provide legal advice to internal departments on general business matters.
- Review business documents to ensure legal compliance.
- Monitor and control contract timelines, including expiration dates, renewal dates, and other obligations.
- Conduct legal research to support company decision-making.
- Respond to legal inquiries from internal departments regarding laws and regulations.
- Assist in preparing reports, letters, and official notifications to government authorities (e.g., capital increases).
- Draft and maintain corporate legal documents, such as board resolutions, shareholder meeting minutes, shareholder agreements, share transfer documents, and other legal entity records (or coordinate with external law firms).
- Support the HR department in reviewing employment contracts and handling legal matters related to employees.
- Systematically store legal and corporate documents.
- Coordinate with external law firms in litigation, contract negotiations, or specialized legal issues.
- Review or draft internal policies to ensure compliance with laws and regulations, including the Corporate Authority Index and power of attorney documents.
- Monitor and report changes in laws and regulations that may impact the business.
- Coordinate document legalization, notarization, and certification from foreign authorities when required.
-Work with insurance providers to negotiate and ensure the company has adequate coverage in all areas, such as employee insurance, client-related insurance, property insurance, and directors’ liability insurance.
Qualifications
- Experiences 1-5 years in corporate legal work, (new grads are welcome!)
- Bachelor’s or Master’s degree in Law or related
- High attention to detail, ability to multitask, and work independently
- Strong interpersonal and communication skills to coordinate with internal departments and external parties
- Well communication with strong English skill (TOEIC 450 (CEFR A2 is preferred))
- Holding a lawyer's license will be given special consideration.
